These Terms and Conditions (“Terms”) form a legally binding agreement between EffortlessAI, LLC d/b/a Effortless Realtor, a North Carolina limited liability company with its principal place of business at 81 Broadway St. Suite 201, Asheville, NC 28801 (“Effortless Realtor,” “Company,” “we,” “our,” or “us”), and any individual or entity accessing or using Effortless Realtor’s websites, platforms, applications, APIs, or artificial intelligence services (collectively, the “Service”).

By accessing or using the Service, you (“User,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

1. Eligibility and Accounts

1.1 Eligibility. The Service is intended only for individuals who are at least eighteen (18) years old or the age of majority in their jurisdiction, whichever is greater, and who have the legal capacity to enter into binding contracts. By using the Service, you represent and warrant that you meet these requirements.

1.2 Account Registration. To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information, and to maintain and promptly update such information.

1.3 Account Security. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account. You must immediately notify Effortless Realtor of any unauthorized access or suspected breach of security.

1.4 Non-Transferability. Accounts are personal to you and may not be assigned, sold, licensed, or otherwise transferred without Effortless Realtor’s prior written consent.

2. Description of Service

2.1 Effortless Realtor provides AI-powered voice reception and workflow automation services tailored for real estate professionals, including AI voice agents, inbound call handling, lead qualification, appointment scheduling, and related automation capabilities.

2.2 The Service and outputs are provided “as is” and may contain inaccuracies, errors, or biases. Effortless Realtor does not guarantee accuracy, reliability, or suitability of outputs for any particular purpose.

2.3 The Service is continually evolving and may be modified, suspended, or discontinued at Effortless Realtor’s sole discretion.

3. Acceptable Use and Restrictions

3.1 Prohibited Uses. You shall not, directly or indirectly:
(a) Use the Service for unlawful, fraudulent, defamatory, harassing, obscene, or infringing purposes.
(b) Submit “special category” or sensitive data (including health, biometric, genetic, financial account, children’s data, or government identifiers) unless expressly authorized by a separate written agreement.
(c) Attempt to copy, disassemble, decompile, reverse engineer, extract, or otherwise misuse the Service or its underlying models, software, or datasets.
(d) Benchmark, test, or publish performance evaluations of the Service without Effortless Realtor’s prior written consent.
(e) Scrape, harvest, or extract outputs at scale, or use outputs to train competing models.
(f) Interfere with or attempt to disrupt the security, availability, or integrity of the Service.

3.2 Restricted Applications. You may not use the Service for safety-critical or high-risk activities, including medical diagnosis or treatment, life-support systems, aviation, autonomous vehicles, nuclear facilities, or weapons systems, without Effortless Realtor’s prior written approval supported by documented safety validations.

3.3 Compliance. You are responsible for ensuring your use of the Service complies with all applicable laws and regulations in your jurisdiction.

4. User Content and AI Outputs

4.1 User Content. By submitting content to the Service, you grant Effortless Realtor a worldwide, royalty-free, sublicensable, and transferable license to process, analyze, host, and otherwise use the content as necessary to deliver the Service and, where permitted, to improve models.

4.2 Representations. You represent and warrant that you have all necessary rights to provide User Content, and that such content does not infringe, misappropriate, or violate any rights of third parties.

4.3 AI Outputs. Subject to your compliance with these Terms, Effortless Realtor grants you a non-exclusive, worldwide, royalty-free license to use outputs generated by the Service.

4.4 Third-Party Rights. Effortless Realtor makes no representation that outputs are unique or free from third-party intellectual property claims. You bear sole responsibility for reviewing, clearing, and licensing outputs before distribution or commercialization.

5. Intellectual Property

5.1 The Service, including all software, algorithms, models, trademarks, logos, and associated intellectual property, are and shall remain the exclusive property of Effortless Realtor and its licensors.

5.2 Except as expressly permitted in these Terms, no rights are granted by implication, estoppel, or otherwise.

6. Data Protection and Privacy

6.1 Effortless Realtor processes personal data in accordance with its Privacy Policy, which is incorporated by reference.

6.2 Effortless Realtor acts as controller for account and billing data, and as processor for User Content, subject to a Data Processing Agreement where applicable.

6.3 You are responsible for obtaining all necessary consents and legal bases before submitting third-party personal data to the Service.

7. Security and Risk Management

Effortless Realtor maintains an information security and AI risk program aligned with the NIST AI Risk Management Framework and ISO/IEC 42001, including secure development practices, access controls, encryption, model monitoring, red-teaming, and risk mitigation measures.

8. Availability, Service Levels, and Remedies

8.1 Effortless Realtor does not warrant uninterrupted or error-free operation of the Service.

8.2 Outages or disruptions caused by third-party providers (e.g., hosting or model providers) constitute SLA Exclusions.

8.3 Where applicable, your sole remedy for downtime shall be limited to service credits, which shall not exceed the fees paid for the affected period.

9. Warranties and Disclaimers

9.1 The Service is provided “as is” and “as available.”

9.2 Effortless Realtor disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and reliability.

9.3 Outputs are informational only and do not constitute legal, financial, medical, or professional advice. You must seek appropriate professional guidance before relying on outputs.

10. Limitation of Liability

10.1 To the maximum extent permitted by law, Effortless Realtor shall not be liable for indirect, incidental, special, exemplary, or consequential damages, including lost profits, revenues, goodwill, or data.

10.2 Effortless Realtor’s aggregate liability for all claims shall not exceed the total fees paid by you to Effortless Realtor in the twelve (12) months preceding the claim.

11. Indemnification

You shall indemnify, defend, and hold harmless Effortless Realtor, its affiliates, officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of:
(a) Your misuse of the Service;
(b) Your violation of these Terms; or
(c) Your use of outputs resulting in third-party claims, including intellectual property infringement or privacy violations.

12. Legal Process and Export Controls

12.1 Effortless Realtor responds to government or law enforcement requests only to the extent required by law, and will challenge overbroad or unlawful demands where legally permissible.

12.2 You agree not to access or use the Service in violation of U.S. export control or sanctions laws, including those administered by the U.S. Department of Commerce and the Office of Foreign Assets Control (OFAC).

13. Governing Law and Dispute Resolution

13.1 These Terms are governed by and construed under the laws of the State of North Carolina, without regard to conflicts of law principles.

13.2 Any dispute, controversy, or claim shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Asheville, North Carolina, in English.

13.3 Class Action Waiver. You agree to resolve disputes on an individual basis only, and waive any right to participate in class, collective, or representative actions.

13.4 Mass Arbitration Protocol. For mass filings, the parties agree to a phased bellwether process and equitable allocation of fees, as directed by the arbitrator.

13.5 Opt-Out Right. You may opt out of arbitration by sending written notice to info@effortlessrealtor.com within thirty (30) days of creating your account.

13.6 Notwithstanding the foregoing, either party may bring an action in small claims court for qualifying claims.

14. Modifications to Terms

Effortless Realtor may modify these Terms at any time by posting the updated version with a revised “Last Updated” date. For material changes, Effortless Realtor will provide reasonable notice through the Service or by direct communication. Continued use after the effective date of changes constitutes acceptance.

15. Severability and Waiver

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The failure of Effortless Realtor to enforce any provision shall not constitute a waiver.

16. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and any applicable Data Processing Agreement, constitute the entire agreement between you and Effortless Realtor regarding the Service and supersede all prior or contemporaneous agreements.
